Terms of Service

1. Introduction

These Terms of Service (the "Terms") constitute a legal agreement between Lavionic GmbH ("Lavionic," "we," "us," or "our") and you or the entity you represent ("you"). These Terms govern your access to and use of Wingman360 AI (the "Platform") and related websites, products, and services available at https://wingman360.ai (collectively, the "Services").

By accessing or using the Services, you:

  • acknowledge that you have read and understood these Terms;
  • agree to be bound by these Terms;
  • agree to our Privacy Policy located at Privacy Policy; and
  • commit to comply with all applicable laws and regulations.

If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity. We may update these Terms by posting a revised version on the site or notifying you by reasonable means. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

2. Definitions

For purposes of these Terms:

"Platform" means the Wingman360 AI software platform accessible through the Site that enables users to create, analyze, or manage content and workflows using artificial intelligence.

"Site" means wingman360.ai and any associated domains or subdomains under our control.

"Services" means the Platform and all related features, tools, modules, integrations, APIs, and support we make available to you under these Terms.

"AI Gateway" means any optional, managed API proxy service offered by us that allows access to third‑party AI models through our infrastructure.

"Customer Data" means any content, documents, prompts, code, text, images, files, or other data you or your users upload, input, submit, host, or generate through the Services.

"Lavionic Materials" means the Platform, the Services, the Site, and all related software, technology, documentation, tools, templates, models, interfaces, content, and other materials that we develop, provide, or make available.

"Usage Data" means telemetry, logs, performance data, usage metrics, and other technical data generated by or in connection with your use of the Services.

"Third‑Party AI Provider(s)" means external AI providers or model hosts that you can access via the AI Gateway or integrations.

"Infrastructure Provider(s)" means third‑party hosting, storage, networking, or database providers used to operate the Services.

3. Account Registration and Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. If you use the Services on behalf of an entity, you must have authority to bind that entity. You are responsible for the accuracy of your account information and for safeguarding your credentials. You will promptly notify us of any unauthorized use of your account.

4. License to Use the Services

Subject to these Terms and your plan limits, Lavionic grants you a limited, personal, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal business purposes. Except for this license, no other rights are granted. We reserve all rights not expressly granted herein. This license terminates immediately if you breach these Terms or if your account is terminated.

5. Acceptable Use and Restrictions

You agree not to, and not to permit any third party to:

  • copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or Lavionic Materials except as expressly permitted here;
  • resell or provide the Services to third parties on a service‑bureau or time‑sharing basis;
  • share credentials or allow unauthorized access to your account;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, models, or algorithms underlying the Services;
  • bypass or disable security or access controls;
  • use automated scraping, crawling, or bot activity without our written permission;
  • upload or distribute malware or harmful code;
  • overload, disrupt, or interfere with normal operation of the Services;
  • use the Services to harass, defame, impersonate, or otherwise harm others;
  • use the Services in violation of laws, regulations, export controls, or sanctions;
  • generate or disseminate harmful, misleading, unlawful, or infringing content;
  • misrepresent AI output as human‑generated where doing so could cause harm or deception;
  • rely on AI output without appropriate review in high‑risk contexts (including medical, legal, financial, safety‑critical uses);
  • extract, reconstruct, or attempt to determine model weights, training data, or system logic;
  • use the Services, AI output, or prompts to train or improve competing AI models.

We may suspend or terminate access for violations, suspected fraud, or abuse.

6. Prohibited Military Use

You are strictly prohibited from using the Services, Platform, or any outputs generated through them for any military, defense, or weapons-related purposes. This prohibition applies to both direct and indirect use, whether by government entities, military contractors, defense organizations, or private parties.

Without limitation, prohibited military uses include:

  • Development, design, testing, deployment, or operation of military systems, weapons, or defense infrastructure;
  • Creation or enhancement of autonomous weapons systems, targeting systems, or any military decision-making tools;
  • Military intelligence gathering, surveillance operations, or reconnaissance activities;
  • Training or supporting military personnel or operations;
  • Any use in connection with armed conflict, warfare, or military engagements;
  • Research, development, or analysis for military or defense applications;
  • Supporting defense contractors, military subcontractors, or entities providing services to armed forces;
  • Any activity that could directly or indirectly contribute to military capabilities or operations.

Enforcement: Any detected or suspected military use constitutes a material breach of these Terms and will result in immediate termination of your account and access to the Services without refund.

7. Customer Data, Privacy, and Data Security

No Sensitive Data: Do not upload protected health information, government identifiers, full payment card numbers, biometric data, or similarly sensitive categories. The Services are not designed to handle such data.

Rights in Customer Data: As between you and Lavionic, you own your Customer Data. You grant us a worldwide, non‑exclusive license to host, process, transmit, and display Customer Data to provide and improve the Services.

8. Disclaimers of Warranties

THE SERVICES, INCLUDING THE PLATFORM, ANY HOSTING, ANY AI GATEWAY, AND ALL AI OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, LAVIONIC AND ITS LICENSORS AND PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LAVIONIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict‑of‑law rules. The courts of Munich, Germany, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
